These Terms of Service explain how TWIT Solution LTD operates, what clients can expect, and how we protect both sides during a project. Please read them carefully before engaging with us.

 

Section 1 — Introduction & Scope

1.1 About Us
TWIT Solution LTD (“we”, “us”, “our”) is a North‑East based IT & AI consultancy providing technology modernisation, automation, cloud, DevOps, cybersecurity, and software development services. We operate with a UK consultancy front and global engineering partners to deliver scalable, high‑quality solutions.

1.2 Purpose of These Terms
These Terms of Service (“Terms”) govern your use of our website, communication with us, and any services you request or engage through TWIT Solution LTD. By accessing our website or working with us, you agree to be bound by these Terms.

1.3 Who These Terms Apply To
These Terms apply to all website visitors, prospective clients, existing clients, and any organisation or individual engaging with TWIT Solution LTD for consultancy or technical services.

1.4 Professional Relationship
Engaging with TWIT Solution LTD does not create a formal client relationship until a written agreement, proposal acceptance, or booking confirmation is issued by us. We reserve the right to accept or decline any project or enquiry.

1.5 Service Scope
Our services include, but are not limited to:

  • AI & automation

  • Cloud engineering & DevOps

  • Cybersecurity

  • Software development

  • Technical consultancy

  • White‑label delivery for agencies and partners

The exact scope of work for any engagement will be defined in a proposal, statement of work, or written agreement.

1.6 Updates to These Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated “Last updated” date. Continued use of our website or services constitutes acceptance of the revised Terms.

 

Section 2 — Use of Subcontractors and White‑Label Delivery

2.1 Subcontracted Work
TWIT Solution LTD may engage third‑party service providers, technical partners, or subcontractors to assist in delivering our services. This includes, but is not limited to, software development, cloud engineering, DevOps, cybersecurity, automation, and other technical work.

2.2 Quality and Oversight
All subcontracted work is managed, reviewed, and quality‑checked by TWIT Solution LTD. We remain your primary point of contact and retain full responsibility for project coordination and communication.

2.3 Confidentiality Requirements
All subcontractors engaged by TWIT Solution LTD are required to comply with strict confidentiality obligations. This includes the protection of client information, project details, intellectual property, and any sensitive materials shared during the engagement.

2.4 Client Contact Restrictions
Clients agree not to directly contact, hire, or attempt to engage any subcontractor, partner, or third‑party provider introduced or utilised by TWIT Solution LTD without prior written consent. This restriction applies during the project and for a period of 12 months after completion.

2.5 White‑Label Delivery
Where applicable, TWIT Solution LTD may deliver services on a white‑label basis. This means:

  • Work may be completed by our delivery partners

  • All communication, reporting, and project management is handled by TWIT Solution LTD

  • Subcontractors may not be disclosed unless required for legal or operational reasons

2.6 Service Continuity
If a subcontractor becomes unavailable, TWIT Solution LTD will take reasonable steps to replace or reassign the work to ensure continuity of service.

2.7 Liability for Subcontractors
TWIT Solution LTD is not liable for delays, errors, or issues caused by subcontractors where such issues are outside our reasonable control. However, we will always take reasonable steps to resolve any problems and maintain service quality.

 

Section 3 — Liability, Disclaimers & Limitations

3.1 Professional Standards & Realistic Expectations
TWIT Solution LTD delivers all services with a high level of care, skill, and professionalism. We work to meet agreed requirements and industry best practices. However, certain results depend on factors outside our control — including client decisions, third‑party systems, existing infrastructure, and market conditions. For this reason, we provide no assurance of specific business outcomes, but we always aim to deliver high‑quality work aligned with the agreed scope.

3.2 Limitation of Liability
To the fullest extent permitted by UK law, TWIT Solution LTD shall not be liable for any indirect, incidental, special, or consequential losses. Our total liability for any claim arising from the services provided shall not exceed the total amount paid by the client for the specific engagement giving rise to the claim.

3.3 Client Responsibilities & Delays
Clients are responsible for providing accurate information, timely feedback, access to required systems, and any materials necessary for project delivery. TWIT Solution LTD is not responsible for delays, additional costs, or reduced performance caused by incomplete, inaccurate, or late client inputs.

3.4 Third‑Party Tools, Platforms & Integrations
Our services may involve the use of third‑party tools, APIs, hosting providers, cloud platforms, or software. TWIT Solution LTD is not responsible for outages, changes, limitations, or failures caused by third‑party services. Any issues arising from such services must be addressed with the relevant provider.

3.5 No Liability for Indirect or Consequential Losses
TWIT Solution LTD is not liable for any loss of profits, revenue, data, business opportunities, reputation, or any other indirect or consequential damages arising from the use of our services or website.

3.6 Professional Disclaimer
All advice, recommendations, and consultancy guidance provided by TWIT Solution LTD is based on our expertise and the information available at the time. Clients are responsible for evaluating and implementing any recommendations and for making final business decisions.

3.7 Events Outside Our Control (Force Majeure)
TWIT Solution LTD is not liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to: natural disasters, power outages, internet failures, strikes, government restrictions, or disruptions affecting third‑party providers.

 

Section 4 — Intellectual Property

4.1 Ownership of Materials
All content, documentation, designs, code, strategies, and deliverables created by TWIT Solution LTD during an engagement remain our intellectual property until full payment has been received, unless otherwise agreed in writing.

4.2 Licence to Use Deliverables
Upon full payment, clients receive a non‑exclusive, non‑transferable licence to use the deliverables for their intended business purpose. This licence does not permit resale, redistribution, or sublicensing unless explicitly agreed.

4.3 Pre‑Existing IP
Any tools, frameworks, templates, or code libraries owned by TWIT Solution LTD or our partners prior to the engagement remain our exclusive property. We may reuse these materials across multiple projects.

4.4 Client Materials
Clients retain ownership of any materials, data, or assets they provide to TWIT Solution LTD. Clients grant us a limited licence to use such materials solely for the purpose of delivering the agreed services.

 

Section 5 — Payment Terms

5.1 Payment Structure
Payment terms, rates, and billing schedules will be outlined in the proposal, statement of work, or written agreement for each engagement.

5.2 Invoices & Due Dates
Invoices are due within the timeframe stated on the invoice. Late payments may result in paused work until the outstanding balance is settled.

5.3 Deposits
Some projects may require an upfront deposit before work begins. Deposits are non‑refundable unless otherwise stated.

5.4 Additional Work & Scope Changes
Any work requested outside the agreed scope will be billed at our standard rates or as quoted separately. Scope changes may affect timelines and costs.

5.5 Taxes
All fees are exclusive of applicable taxes unless stated otherwise.

 

Section 6 — Termination

6.1 Termination by the Client
Clients may terminate an engagement by providing written notice. Work completed up to the termination date will be invoiced accordingly.

6.2 Termination by TWIT Solution LTD
We reserve the right to terminate an engagement if:

  • The client fails to provide required information

  • Payments are overdue

  • The project becomes unfeasible or unsafe

  • The client breaches these Terms

6.3 Effect of Termination
Upon termination:

  • All completed work up to that point must be paid for

  • Any licences granted to the client may be revoked if payment is outstanding

  • Access to shared systems or environments may be removed

6.4 No Refunds for Completed Work
Payments for completed work, time spent, or delivered milestones are non‑refundable.

 

Section 7 — Governing Law & Dispute Resolution

7.1 Governing Law
These Terms are governed by the laws of England and Wales.

7.2 Jurisdiction
Any disputes arising from these Terms or our services shall be resolved exclusively in the courts of England and Wales.

7.3 Good‑Faith Resolution
Before pursuing legal action, both parties agree to attempt to resolve disputes in good faith through discussion or mediation.
